For active client engagements, any written service agreement or statement of work between you and ZUBE Ops takes precedence over these general terms where they conflict.
About ZUBE Ops
ZUBE Ops provides dedicated remote teams for HR, finance, and back-office operations. We work inside your existing systems to handle day-to-day operational tasks on your behalf.
We operate under the name ZUBE Ops. We serve businesses worldwide.

Services
ZUBE Ops offers twelve core back-office services across three areas: People & HR Operations, Finance & Billing, and Business & Admin Support. The specific services, scope, and deliverables for each client are defined in a written engagement agreement.
We integrate with your existing software stack. No platform migration is required unless separately agreed.
Engagements
All client work follows a structured process:
We do not begin handling your operational data or systems until a written agreement is in place.
- Discovery call to understand your team size, systems, and operational needs.
- Scoped quote based on your service mix and volume.
- Written agreement or statement of work before any operational work begins.
- Dedicated team assignment and integration with your existing systems.
Fees and payment
Fees are quoted per engagement based on your team size, service mix, and volume. We provide a detailed quote after the discovery call.
Payment terms, billing frequency, and any applicable taxes are specified in your written engagement agreement. We do not charge hidden fees beyond what is agreed in writing.
Client responsibilities
To enable us to deliver services effectively, you agree to:
- Provide timely access to the systems, tools, and information we need to perform agreed tasks.
- Provide accurate instructions and keep us informed of changes to your processes or requirements.
- Maintain appropriate security controls over the access you grant to our team.
- Comply with applicable laws and regulations in your jurisdiction.
Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of an engagement or enquiry. This includes operational data, financial information, employee records, and internal processes.
Confidentiality obligations survive termination of any engagement, except where disclosure is required by law or the information becomes publicly available through no fault of the receiving party.
Data protection

For client engagements, we process operational data on your instructions and in accordance with your data privacy and compliance requirements. You remain responsible for the data in your systems; we act as a service provider carrying out agreed tasks within the access you control.
Intellectual property

ZUBE Ops retains rights to its own methods, processes, templates, and know-how developed independently of any client engagement. Work product created specifically for you as part of an agreed engagement is yours, as specified in your written agreement.
Warranties and disclaimers
We perform services with reasonable skill and care, consistent with professional back-office operations standards.
Our website and its content are provided "as is" without warranties of any kind, whether express or implied. We do not warrant that the site will be uninterrupted, error-free, or free from security vulnerabilities.
Limitation of liability
To the fullest extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, special, or consequential damages arising from use of the website or provision of services.
Our total liability to you for any claim arising from services provided under a written engagement agreement shall not exceed the total fees paid by you to ZUBE Ops in the twelve months preceding the claim.
Term and termination
We recommend a three-month initial term for new engagements to allow for setup and process stabilisation. After the initial term, engagements continue on a month-to-month basis unless otherwise agreed in writing.
Either party may end an ongoing engagement by giving thirty days' written notice.
Upon termination, we will hand back documented processes and support a reasonable transition so that your operations continue without disruption. You remain responsible for fees incurred up to the effective termination date.
Disputes
If a disagreement arises regarding these terms or any engagement, both parties agree to attempt good-faith resolution through direct communication before pursuing any formal remedy.

Changes to these terms
